Pursuant to the Order of the Hon'ble High Court Division passed in Company Matter No. 709 of 2026 on 25 June 2026, in connection with a petition filed by Mr. Towhid Samad(LM0048), Mr. Tanveer Muzhar Islam (Tanna) (LM0181), and Mr. Ajmal Kabir(PMK307), all members are hereby informed that the Extraordinary General Meeting (EGM) of Dhaka Club Limited, scheduled to be held on 27 June 2026, has been postponed until further notice.

We write to update you on recent legal developments concerning the EGM called by Notice No. 794/DC dated 16 May 2026.

Prof. Dr. Abul Kashem Miah, a member, has filed a petition before the High Court Division under Section 85(3) of the Companies Act, 1994, challenging the EGM and the proposed amendments to the Club's Articles of Association.The High Court passed an interim order staying the EGM for three months. The order was received at 4:00 PM BD time on Thursday,4 June 2026, by the Club.

Today, i.e., the very first working day after receipt of that order, the Club moved urgently before the Appellate Division of the Supreme Court. The Appellate Division has disposed of the matter with a direction to the High Court to conclude proceedings within four weeks, placing the case on an expedited footing.

The Club acted without a moment's delay.The legal position is being dealt with care and purpose,and members' interests remain at the centre of every step we take.
